PRACTICE PROFILE

Patrick Cleary was called to the Alberta Bar in 2004 and the BC Bar in 2005. He is a member of the firm’s Banking, Construction & Engineering, Corporate/Commercial, Health, Intellectual Property & Technology, and Real Estate Practices.

Patrick has developed widespread experience in all areas of corporate commercial law. In particular, he has acted for real estate development clients in the acquisition, disposition, development, leasing and financing of commercial, industrial and residential developments.

Patrick further applies his knowledge of commercial law with a focus on banking. He represents both lenders and borrowers, assisting them in routine and complex debt financing and secured and unsecured lending transactions. In addition, Patrick has been involved extensively in mergers and acquisitions, corporate reorganizations, corporate governance issues, joint ventures, and negotiating and drafting commercial agreements.

Patrick’s health care practice focuses on legal and regulatory advice to the firm’s public health care sector clients. Patrick provides opinions and advice to clients in order to ensure that their health care initiatives comply with federal and provincial legislation and adopt best practices from both governance and risk management perspectives.

Prior to joining Alexander Holburn Beaudin & Lang LLP, Patrick gained international business experience with PricewaterhouseCoopers LLP Management Consultants.

REPRESENTATIVE EXPERIENCE

  • Represents institutional lenders including chartered banks with respect to structuring and preparing security for commercial and real estate development loans;
  • Counsel for residential and commercial developers;
  • General business acquisitions by way of asset or share purchases, joint ventures, corporate reorganizations, partnerships and other general corporate and commercial matters;
  • Negotiating health care transactions, acquisitions of medical equipment and software programs, and drafting clinical research and research collaboration agreements;
  • Research and provision of regulatory opinions and advice to clients to ensure that their health care initiatives comply with federal and provincial legislation;
  • Drafting offer to lease agreements, lease agreements, lease renewal and amendment agreements, non-disturbance agreements, caveats and additional agreements;
  • Drafting limited partnership agreements; and
  • Drafting consulting agreements, service contracts, asset and share purchase agreements.
